1. About these terms

1.1 These terms apply when you buy a legal document template (Template) from wordsmithlegal.com.au. By completing your purchase, you agree to them.

1.2 In these terms, we, us and our mean WordSmith Legal [Pty Ltd]. You and your mean the person or business that buys the Template.

1.3 The version of these terms in force when you buy a Template applies to that purchase. If we update these terms later, the changes will not affect Templates you have already bought.

2. Who owns the Template

2.1 We own the copyright and all other intellectual property rights in each Template, including its structure, clauses, drafting notes and guidance.

2.2 When you buy a Template, you are buying a licence to use it. You are not buying the copyright.

3. What you can do

3.1 Each Template is licensed for single use. When you buy a Template, we grant you a non-exclusive, non-transferable licence to use it once, to create one Customised Document for one Transaction in your business.

3.2 In these terms:

(a) Transaction means one agreement, engagement or matter between your business and one other party, or one group of parties to the same agreement; and

(b) Customised Document means the document you create by editing and completing the Template for that Transaction.

(c) Your business means one sole trader, partnership, company or other entity. It includes your employees and contractors when they are acting on behalf of that business.

3.3 Under this licence, you may:

(a) download and store the Template;

(b) edit, adapt and complete the Template to create the Customised Document;

(c) prepare drafts and revised versions of the Customised Document while it is being negotiated, and later variations of it with the same party or parties;

(d) give the Customised Document to the other party or parties to the Transaction to review, negotiate and sign; and

(e) keep copies of the Template and the Customised Document for your records.

3.4 Your right to use the Customised Document continues for as long as the resulting agreement is in force, including any renewal or extension with the same party or parties.

3.5 Once you have used the Template for a Transaction, the licence is terminated. You must buy a new licence for each new Transaction.

4. What you can’t do

4.1 You must not:

(a) use the Template or any Customised Document, or copy, adapt or reuse its content, to create a document for any other Transaction;

(b) sell, sublicense, share, give away or otherwise distribute the Template, or any substantially similar version of it, to anyone except as allowed under clause 3.3(d);

(c) publish the Template or a blank or partially completed version of it, including on a website, in a shared drive, in a course or membership, or in a group or forum;

(d) use the Template to create template products, precedents or document packs for sale or distribution to others;

(e) use the Template to prepare documents for other businesses, for example as a service to your own clients, unless you have bought a separate licence from us for that purpose;

(f) use the Template, or allow it to be used, to train, fine-tune or develop any artificial intelligence or machine learning model or product; or

(g) remove or alter any copyright notice in the blank Template. You may remove our notices from a completed Customised Document.

5. Legal information, not legal advice

5.1 Each Template contains general legal information. It is not legal advice about your particular circumstances.

5.2 Buying or using a Template does not create a lawyer–client relationship between you and us.

5.3 You are responsible for deciding whether a Template suits your needs, for completing it correctly, and for how you use it. We recommend getting legal advice before relying on a Customised Document for a significant transaction. We offer fixed-fee document reviews if you’d like us to check yours.

5.4 Templates are prepared for use under Australian law, and specifically New South Wales law. If you or the other party are located elsewhere, you should get local legal advice.

6. Accuracy and updates

6.1 We take care to ensure each Template is accurate at the date it is published. However, laws and industry practices change.

6.2 We are not obliged to update Templates you have already bought. If we release an updated version, we may, but don’t have to, offer it to previous buyers at no cost or at a discount.

7. Refunds and your consumer rights

7.1 Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded.

7.2 Because Templates are delivered digitally and can be copied once downloaded, we do not offer refunds for change of mind.

7.3 If a Template file is faulty, corrupted or not as described, contact us at support@wordsmithlegal.com.au. We will fix or replace the file as appropriate.

8. Limitation of liability

8.1 To the maximum extent permitted by law, we are not liable for any loss or damage arising from your use of a Template or any Customised Document, including indirect or consequential loss, loss of profit, or loss arising from a dispute with a third party.

8.2 Where our liability for breach of a consumer guarantee can be limited by law, it is limited, at our option, to supplying the Template again.

9. Ending the licence

9.1 If you seriously breach these terms, including any restriction in clause 4, your licence ends automatically. You must then stop using the Template and delete all copies of it.

9.2 Customised Documents that were signed with third parties before the licence ended remain valid between you and those parties.

10. General

10.1 These terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales.

10.2 If any part of these terms is invalid or unenforceable, it is severed and the rest of the terms continue to apply.

10.3 If we don’t enforce a right under these terms straight away, we have not waived that right.
